Terms of Service
Version 2026-10-16. Effective 16 October 2026.
These terms are an agreement between the organization that signs up for PipeKeel ("you", the "Customer") and the PipeKeel company for your region ("PipeKeel", "we"):
| Your organization's home region | PipeKeel company |
|---|---|
| India | Sangita Enterprise (sole proprietorship), Sukanta Palli, Bansberia, Hooghly 712502, West Bengal, India |
| United States, Canada | Mukherjee Technology Solutions Ltd. (incorporated in Canada), Unit 3107, 50 Town Centre Court, Scarborough, Ontario M1P 0A9, Canada |
The home region is chosen at sign-up and shown under Admin → Settings. The person who accepts these terms confirms they may do so for the organization.
1. The service
PipeKeel is a service for designing, running and monitoring data pipelines and workflows (the "Service"). Pipelines run in one of two modes:
- Sovereign — in your own Google Cloud project, as a service account you control. Your data stays in your project; PipeKeel sends the queries and reads job status and statistics.
- Express — in infrastructure PipeKeel operates, in your organization's home region, using storage dedicated to your organization.
Features differ by plan (see the plan list in the app). We may change the Service, but we won't remove a core feature of a paid plan during a paid period without notice and a pro-rated refund of that period if you cancel because of it.
Beta. Until we announce general availability, the Service is a beta: it may change more often, and §10 applies to it in full.
2. Accounts
- You're responsible for your users, their access rights and keeping credentials safe. Turn on two-factor authentication; you can require it for everyone (Admin → Settings).
- Tell us without delay at [email protected] if you believe an account has been compromised.
- You must give accurate sign-up and billing information.
3. Your data
- "Customer Data" means the data your pipelines read, transform or write, the credentials you give us to reach it, and the content you create in the Service (pipeline definitions, variables, settings).
- You keep all rights in Customer Data. You give us the rights needed to provide, secure and support the Service for you — nothing more. We don't sell Customer Data or use it to train models.
- We process personal data in Customer Data as your processor under the Data Processing Agreement, which is part of these terms.
- Relay (off by default) moves data through PipeKeel's workers in transit; an admin must accept the Relay disclosure to turn it on.
- You are responsible for having the right to process Customer Data with the Service, and for the systems and accounts you connect (including your Google Cloud project, its costs and quotas).
4. Acceptable use
You won't: break the law or others' rights with the Service; try to reach another customer's data or probe, scan or test the Service's security without our written permission; overload or disrupt the Service; use it to send spam or malware; resell it without an agreement with us; or reverse engineer it except where the law allows. We may suspend access that puts the Service or others at risk; we'll tell you why and restore it once the risk is gone.
5. Plans, fees and taxes
- Trial. A new organization gets a 14-day trial of the Team plan. At its end it moves to the Free plan unless you choose a paid plan; nothing is deleted.
- Fees. Paid plans are billed monthly or yearly in advance, in USD (US / Canada) or INR (India), through Stripe or Razorpay. Express usage beyond a plan's included credits is billed in arrears.
- Taxes. Prices exclude taxes. We add sales tax, GST / HST / PST or Indian GST where they apply.
- Changes of plan take effect at once and are pro-rated by the payment provider. Going down a plan never deletes data: pipelines beyond the new plan's limits are paused.
- Cancelling takes effect at the end of the paid period; fees already paid aren't refunded except as required by law or stated in these terms.
- Late payment. If a payment fails we'll retry and email you; if it remains unpaid after the provider's retries, the organization moves to the Free plan.
- We may change prices with at least 30 days' notice; changes apply from your next renewal.
6. Confidentiality
Each party keeps the other's non-public information confidential, uses it only for this agreement, and protects it at least as carefully as its own. This doesn't cover information that is public, already known, independently developed or lawfully received from someone else, or that must be disclosed by law (with notice where allowed).
7. Intellectual property
We own the Service and everything we make available in it (including the blocks, templates and generated code's structure); you may use the generated SQL and exports for your own purposes. If you send us feedback, we may use it without obligation.
8. Third-party services
The Service works with services you choose (Google Cloud, Google Sheets, databases, Pub/Sub and Kafka, online stores such as Shopify and WooCommerce, Slack, e-mail, APIs). Connecting PipeKeel to them must be allowed by their terms and your agreements with them (for example a store's API terms). Your use of them is governed by their terms; we're not responsible for them.
9. Security and availability
We protect the Service and Customer Data with the measures in the DPA's security annex. We aim for high availability and publish incidents on our status page (linked from Help in the app), but during the beta we give no uptime commitment.
10. Warranties
We provide the Service with reasonable skill and care. Otherwise, and to the extent the law allows, the Service is provided "as is", without other warranties, express or implied — including merchantability, fitness for a particular purpose and non-infringement. You are responsible for checking the results of your pipelines before relying on them.
11. Liability
To the extent the law allows: (a) neither party is liable for indirect, incidental, special or consequential damages, or loss of profits, revenue or data (except as caused by its breach of §6 or the DPA); and (b) each party's total liability under this agreement is limited to the fees you paid in the 12 months before the claim (or US$100 — ₹8,000 with Sangita Enterprise — if you paid nothing). These limits don't apply to your payment obligations, to either party's indemnity, or to liability that can't be limited by law.
12. Indemnities
We'll defend you against third-party claims that the Service infringes their intellectual property and pay resulting damages, unless the claim comes from Customer Data or your combination of the Service with something we didn't provide. You'll defend us against third-party claims arising from Customer Data or your breach of §4.
13. Term and termination
These terms apply while you use the Service. You can close your organization at any time (contact us at [email protected] until it's self-service). Either party may end the agreement for a material breach not cured within 30 days of notice. After termination we keep Customer Data for 30 days so you can export it, then delete it (backups expire within 35 days), except what the law requires us to keep.
14. General
- Changes to these terms. We'll give at least 30 days' notice of material changes by email and in the app; continuing to use the Service after that means you accept them.
- Governing law and courts. For Sangita Enterprise: the laws of India, and the courts at Kolkata, West Bengal. For Mukherjee Technology Solutions Ltd.: the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Toronto, Ontario.
- Assignment. Neither party may assign this agreement without consent, except to a successor of its business.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices to us: [email protected]; to you: the organization's owner's email.
- This agreement (with the DPA and any order form) is the whole agreement about the Service.
